GENERAL TERMS AND CONDITIONS OF “LONGDEL” Ltd. (Trade name: “ImotiMonty”) FOR REAL ESTATE BROKERAGE SERVICES


I. GENERAL PROVISIONS
These General Terms and Conditions govern the relationship between “LONGDEL” Ltd., trade name “ImotiMonty”, UIC: 205784191, with registered office and address: 39 “3-ti Mart” Blvd., floor 3, office 7, Montana, Bulgaria, email: s.iliev@imotimonty.com (hereinafter referred to as “the Agency”), and any natural or legal person (hereinafter referred to as “the Client”) regarding the provision of real estate brokerage services.

The Agency provides brokerage services for:

  • Purchase and sale of real estate

  • Leasing and renting of real estate

  • Consultations, property viewings, advertising, and promotion

The Agency performs its activities in compliance with the laws of the Republic of Bulgaria.

These General Terms and Conditions are binding for both parties and form an integral part of every contract unless otherwise agreed in an individual agreement.


II. BROKERAGE FEE

  1. Property Sale Transactions:

  • For properties located in Blagoevgrad and Montana – 2% (excluding VAT) of the agreed purchase price, payable by each party.

  • For properties in Vidin – 3% (excluding VAT) of the agreed purchase price, payable by each party.

  1. Lease Transactions:

  • 0.5 monthly rent, payable once by the tenant and/or the landlord, as agreed.

The fee is due upon the conclusion of the final agreement between the parties, unless otherwise specified in an individual contract.


III. RIGHTS AND OBLIGATIONS OF THE PARTIES

The Agency undertakes to:

  • Represent the Client in good faith

  • Provide accurate information about the properties

  • Organize property viewings and provide consultation

  • Assist in the preparation of transaction documents

The Client undertakes to:

  • Provide accurate information about the property

  • Not enter into deals with third parties introduced by the Agency without its knowledge

  • Pay the agreed fee upon fulfillment of the conditions set in the contract


IV. TERM OF THE CONTRACT
The brokerage contract is for a fixed term. If no specific term is agreed, it is valid for 12 months and automatically renews unless terminated with a 7-day written notice.


V. PERSONAL DATA PROTECTION
The Agency processes personal data in accordance with applicable legislation (including GDPR) and the Privacy Policy published at: https://imotimonty.com


VI. OTHER CONDITIONS
All disputes between the parties shall be settled amicably. If settlement is not possible, the dispute shall be resolved by the competent court under Bulgarian law. These General Terms are an integral part of the brokerage contract.


VII. DEFINITIONS

  • Transaction – a legal act involving two or more parties regarding the transfer or granting of rights to a property (including preliminary agreements).

  • Property – real estate, such as land, apartment, house, plot, commercial premises, etc.

  • Client – any natural or legal person who has signed a contract with the Agency.

  • Price – the agreed value of the transaction used to calculate the brokerage fee.

  • Viewing – an organized property visit by the Client.

  • Commission Agreement – a contract by which the Client assigns the Agency to perform brokerage services under certain conditions for a fee.

  • Exclusive Agreement – a contract under which the Client exclusively assigns the Agency to mediate a specific property transaction for a defined period.


VIII. NON-PERFORMANCE AND PENALTIES

If the Client:

  • Fails to fulfill a commitment to conclude a deal;

  • Withdraws after reaching an agreement;

  • Terminates the contract without valid reason –
    → The Agency has the right to request:

    • Reimbursement of incurred expenses, or

    • Compensation for services rendered up to termination.

For breach of an exclusive agreement, the Client owes a penalty of 50% of the agreed commission, calculated on the Client's asking price.

In case of late payment, the Client owes interest of 1% per day, not exceeding 20% of the commission.

If the Client concludes a deal without the Agency’s knowledge involving a property or person subject to the agreement, the Client owes:

  • The full commission amount, plus

  • A 50% penalty on top of it.


IX. FINAL PROVISIONS

All unresolved disputes shall be settled by the competent court at the Agency’s registered seat – Montana, Bulgaria.

For all matters not covered by these Terms, the applicable Bulgarian legislation shall apply.

These General Terms and Conditions form an integral part of every individual brokerage contract concluded with the Client.
